1. Introduction and Acceptance of Terms
These Terms of Service (“Terms”) govern your access to and use of the services, facilities, website, communications, bookings, and related offerings provided by Harbour Sound Studios Ltd (“we”, “us”, “our”). By making a booking, paying a deposit or invoice, attending our premises, engaging our services, or otherwise using our services, you agree to be bound by these Terms.
If you do not agree to these Terms, you must not use our services. Where a written agreement, quotation, proposal, or booking confirmation conflicts with these Terms, the written agreement, quotation, proposal, or booking confirmation will prevail to the extent of that conflict.
2. Scope of Services
Harbour Sound Studios Ltd provides professional music and audio services, which may include, without limitation:
- Music recording and tracking;
- Mixing and mastering;
- Songwriting and arrangement support;
- Artist development sessions;
- Live sound engineering;
- Podcast and voiceover production; and
- Session musician booking.
The exact scope, deliverables, timelines, rates, and technical specifications for any engagement will be set out in a quotation, estimate, booking confirmation, statement of work, email confirmation, or other written communication from Harbour Sound Studios Ltd.
We may decline or suspend any project, session, or booking if we reasonably believe it is unsafe, unlawful, technically unfeasible, inappropriate, or otherwise incompatible with our standards, equipment, personnel availability, or policies.
3. User Obligations and Responsibilities
When using our services, you agree that you will:
- Provide accurate, current, and complete information at all times;
- Ensure that you have all necessary rights, permissions, licences, consents, and authorisations for any material, recordings, lyrics, compositions, artwork, names, logos, samples, or other content you provide;
- Not supply unlawful, defamatory, obscene, infringing, offensive, or otherwise harmful material;
- Comply with all applicable laws, regulations, venue rules, and safety requirements;
- Arrive on time for sessions and provide required equipment, files, or instructions in the agreed format and timeframe;
- Not interfere with our equipment, software, network, safety systems, or operations; and
- Treat our staff, contractors, artists, clients, and premises with respect.
You are solely responsible for backing up your own recordings, files, and materials unless we expressly agree otherwise in writing. We do not guarantee indefinite storage of project files unless a separate storage arrangement is confirmed in writing.
If you bring guests, band members, assistants, or third parties to our premises or to a live session, you are responsible for their conduct and compliance with these Terms.
4. Payment Terms and Conditions
Fees for services will be communicated in advance through a quotation, rate card, invoice, or booking confirmation. Unless otherwise agreed in writing, all prices are payable in pounds sterling (GBP) and may be subject to applicable taxes.
- A deposit may be required to confirm a booking;
- Bookings are not confirmed until any required deposit is received and cleared;
- Invoices are due by the payment date stated on the invoice or, if no date is stated, immediately upon receipt;
- We may charge interest on overdue amounts at the maximum rate permitted by applicable law, together with reasonable recovery costs;
- Any bank charges, currency conversion fees, or transfer fees are your responsibility unless otherwise agreed; and
- We may suspend work, withhold delivery, or cancel bookings for late or non-payment, without prejudice to our other rights and remedies.
For projects billed on an hourly or daily basis, time is chargeable as recorded by us, including setup, breakdown, revisions, communication, administration, and other work reasonably related to the service unless expressly excluded in writing.
Additional costs arising from client-requested changes, overtime, equipment hire, session musicians, venue fees, travel, accommodation, special media formats, or expedited turnaround may be charged separately.
5. Cancellation and Refund Policy
Cancellations and rescheduling requests must be made in writing. The following policy applies unless a separate written agreement states otherwise:
- If you cancel a booking with more than 7 days’ notice, any deposit may be retained to cover administrative and scheduling costs, unless otherwise agreed;
- If you cancel with 7 days’ notice or less, you may be charged a cancellation fee up to the full booking value, depending on the notice period, reserved time, and any costs already incurred;
- If you fail to attend a booked session or arrive so late that the session cannot reasonably proceed, the full fee may be payable;
- Rescheduling is subject to availability and may be treated as a cancellation if the original time cannot be reallocated;
- Refunds are not provided for services already delivered, time already reserved, or completed work, except where required by applicable law or expressly agreed in writing.
If we need to cancel or reschedule a booking due to illness, equipment failure, safety concerns, venue issues, or circumstances beyond our control, we will use reasonable efforts to offer an alternative time or suitable remedy. Our liability in such circumstances is limited to the refund of amounts paid for undelivered services, subject to any non-refundable costs already incurred and subject always to applicable law.
6. Liability Limitations
Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot be excluded under applicable law.
Subject to the above, Harbour Sound Studios Ltd shall not be liable for:
- Indirect, incidental, special, consequential, exemplary, or punitive losses;
- Loss of profits, revenue, business, opportunity, goodwill, or anticipated savings;
- Loss, corruption, or deletion of data, files, recordings, or materials not caused by our gross negligence or wilful misconduct;
- Delays caused by third parties, internet or network failures, hardware/software incompatibility, power outages, or force majeure events;
- Defects or issues arising from client-supplied material, instructions, equipment, or third-party services; or
- Any use of recordings or deliverables by you or any third party after delivery.
To the fullest extent permitted by law, our total aggregate liability arising out of or in connection with any service, session, booking, or deliverable shall not exceed the amount paid by you to Harbour Sound Studios Ltd for the specific service giving rise to the claim.
You are responsible for obtaining appropriate insurance for your own equipment, instruments, personal belongings, and activities, including any performance, recording, transport, or travel-related risks.
7. Intellectual Property Rights
Unless otherwise agreed in writing, all pre-existing intellectual property rights in our methods, templates, know-how, processes, systems, session notes, and production techniques remain the property of Harbour Sound Studios Ltd or its licensors.
Ownership of final masters, multitrack recordings, edited files, compositions, arrangements, or other deliverables will be determined by the applicable written agreement, invoice terms, or project confirmation. If no written transfer or assignment is expressly stated, all intellectual property rights not otherwise granted to you remain reserved by Harbour Sound Studios Ltd and/or the relevant rights holders.
You warrant that any content you provide does not infringe the rights of any third party and that you have all permissions required for us to record, edit, mix, master, reproduce, communicate, or otherwise process that content for the purposes of providing the services.
Unless otherwise agreed, you grant Harbour Sound Studios Ltd a non-exclusive, worldwide, royalty-free licence to use any materials you provide solely as necessary to perform the services, maintain records, and handle quality assurance, billing, dispute resolution, and lawful business administration.
We may, with your prior consent where required, reference your project, name, logo, or excerpts of delivered work in our portfolio, website, social media, or promotional materials unless you notify us otherwise in writing or a separate confidentiality agreement applies.
8. Data Protection and Privacy
Harbour Sound Studios Ltd will process personal data in connection with bookings, communications, invoicing, project administration, and service delivery. We will handle personal data in accordance with applicable data protection and privacy laws.
We may collect and use information such as your name, contact details, billing information, session details, project files, communications, and technical metadata necessary to deliver services and manage our business.
We may share personal data with trusted service providers, contractors, session musicians, payment processors, legal or accounting advisers, and other third parties where reasonably necessary for service delivery, compliance, fraud prevention, or business operations, subject to appropriate safeguards.
You are responsible for ensuring that any personal data or likenesses included in materials you supply have been collected and shared lawfully and with appropriate notices and consents.

9. Force Majeure
Harbour Sound Studios Ltd shall not be liable for any delay, failure, suspension, or non-performance of its obligations where caused by circumstances beyond its reasonable control, including but not limited to:
- Fire, flood, storm, earthquake, or other natural events;
- War, terrorism, civil unrest, strike, lockout, labour dispute, or industrial action;
- Power outage, equipment failure, software outage, cyber incident, or telecommunications disruption;
- Pandemic, epidemic, public health emergency, or government restriction;
- Transport disruption, venue closure, or unavailability of key personnel or suppliers; and
- Any other event reasonably beyond our control.
In such cases, our obligations will be suspended for the duration of the force majeure event, and we will use reasonable efforts to resume performance as soon as practicable.
10. Changes to Terms
We may update or revise these Terms from time to time to reflect changes in our services, operational requirements, legal obligations, or business practices. The revised Terms will take effect from the date stated in the updated version, or, if no date is stated, upon publication.
Your continued use of the services after any changes become effective constitutes your acceptance of the revised Terms. If you do not accept the revised Terms, you must stop using our services and, where applicable, contact us regarding any outstanding bookings.
11. Applicable Law and Jurisdiction
These Terms and any non-contractual obligations arising out of or in connection with them shall be governed by and interpreted in accordance with the laws applicable in the United Kingdom, subject to any mandatory local laws that cannot be excluded.
Any dispute, claim, or matter arising out of or in connection with these Terms or our services shall be subject to the exclusive jurisdiction of the competent courts having authority over the matter, unless applicable law requires otherwise.

13. Severability Clause
If any provision of these Terms is found to be invalid, unlawful, void, or unenforceable by a court or competent authority, that provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable, or, if that is not possible, severed from these Terms.
The remaining provisions shall continue in full force and effect. Any failure or delay by Harbour Sound Studios Ltd to enforce a provision shall not constitute a waiver of our rights.
